1. Agreement to Terms

By registering as a vendor on this platform, you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you ("Vendor") and the platform operator ("We", "Us", "Our"). If you do not agree to these Terms, do not register or use the platform.

2. Free Registration

Registration on the platform is provided free of charge. There are no monthly or annual subscription fees for vendors. You may create a profile and list your services at no cost.

3. Commission on Sales

3.1 For every booking or sale facilitated through this platform, We charge a commission of 10% (ten percent) of the total transaction value.

3.2 Value Added Tax (VAT) at the standard UK rate of 20% is applied to the commission amount. This means the effective total charge is 12% of the sale value (10% commission + 20% VAT on the commission).

3.3 Example: On a £1,000 booking — Commission = £100, VAT on commission = £20, Total deducted = £120, Vendor receives = £880.

3.4 Commission rates are subject to change with 30 days written notice.

4. Payment Processing & Commission Enforcement

4.1 All customer payments must be processed through the platform's integrated Stripe payment system. Vendors are strictly prohibited from directing customers to pay outside of the platform for services originally discovered or enquired about on this platform.

4.2 Commission is automatically deducted from each transaction before funds are transferred to the Vendor's connected account. You will receive your net amount (after commission and VAT deduction) directly.

4.3 Any attempt to circumvent the commission structure — including but not limited to arranging off-platform payments, issuing refunds and re-billing externally, or any other mechanism designed to avoid commission — constitutes a material breach of these Terms.

5. Suspension & Termination

5.1 We reserve the right to suspend or permanently terminate a Vendor account immediately and without notice if:

• The Vendor attempts to circumvent commission payments
• Outstanding commission balances are not settled within 14 days of demand
• The Vendor provides false or misleading information
• The Vendor breaches any provision of these Terms
• The Vendor's conduct is deemed harmful to the platform or its users

5.2 Upon suspension, the Vendor's listings will be immediately removed from the platform and access to the dashboard will be revoked.

5.3 We also reserve the right to pursue legal action and recovery of unpaid commissions, including reasonable legal costs.

6. Vendor Obligations

You agree to:

• Provide accurate and up-to-date business information
• Deliver the services as described and at the agreed price
• Maintain professional conduct with all customers
• Comply with all applicable UK laws and regulations
• Maintain your own business insurance as required

7. Platform Approval

All vendor profiles are subject to review and approval before appearing publicly on the platform. We reserve the right to reject or remove any vendor profile at our discretion.

8. Limitation of Liability

The platform acts solely as an intermediary marketplace. We are not responsible for disputes between vendors and customers, quality of services delivered, or any indirect losses arising from use of the platform.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Acceptance

By clicking "I Accept" below, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions. Your acceptance is recorded with a timestamp and your account details.
